Corporate and M&A

Our corporate/M&A team is distinctively positioned to provide sophisticated support to Hungarian and multinational corporations, as well as financial investors, on structuring, negotiating and implementing Hungarian and cross-border transactions of all forms and sizes, and related regulatory issues.

The corporate team regularly advises foreign clients on the establishment of their local offices and presence in Hungary providing the most appropriate form of operation according to the client’s business objectives.

We advise our clients from a very early stage of transactions (such as acquisition or sale of companies and assets, complex transactions, setting up joint ventures) and involve other practices, ensuring the most tailor-made structuring available in order to meet the client’s needs and expectations. We assist them throughout the acquisition or disposal process, from the due diligence phase, the legal structuring of the transaction, through to the final “closing” of the transaction, assisting them in negotiations, drafting of contractual documentation, on Hungary specific regulatory matters and in potential post-closing restructurings.

Both investment funds and target companies are clients of our firm, which ensures a sound understanding and expertise of the specifics of private equity and capital market transactions. We also involve industry specialist lawyers at an early stage in these types of transactions to address specific regulatory considerations and suggest solutions adjusted to a given industry sector.

Benefiting from the central location of Budapest within CEE, we regularly advise clients as lead counsels on regional cross-border transactions relying on our in-depth knowledge of and experience with the legal regime and culture of the relevant jurisdiction.
